General Terms and Conditions (GTC)

1. Provider and Scope

These General Terms and Conditions (GTC) apply to all services provided by PMDeers Kneubühl, Alte Affolternstrasse 24, 8908 Hedingen, Switzerland.

They apply in particular to the following service areas:

• Project management, programme management and transformation support
• Consulting, decision architecture, process optimisation and digital product implementation
• Digital Project Twin
• Survival training, workshops, courses, leadership events and team events

Deviating or supplementary agreements shall apply only if confirmed in writing.

2. Conclusion of Contract

A contract is concluded by written acceptance of an offer, by signing a contract, by written order confirmation or by confirmed registration for a training session, workshop, course or event.

E-mail, online forms or other forms of electronic communication are also deemed to be in writing, provided that the intention to enter into a contract is clearly evident from them.

3. Services in the Areas of Project Management, Programme Management and Consulting

The scope of services is determined by the respective offer, contract, service description or other written agreement.

PMDeers provides services carefully and to the best of its knowledge and belief. A specific economic, organisational or technical outcome is owed only if this has been expressly agreed in writing.

The customer remains responsible for its own decisions, approvals, implementation, internal communication, resources, data quality and organisational impact.

4. Services in the Area of Survival Training, Workshops and Team Events

Survival training, workshops, courses, leadership events and team events are conducted in accordance with the announcement, offer or individual agreement.

Outdoor formats may be adapted for safety, weather, terrain, group or organisational reasons. PMDeers is entitled to adapt the schedule, location, content or individual exercises if this is necessary from a professional or safety-related perspective.

Participants acknowledge that outdoor activities may involve natural risks. These include in particular weather, terrain, fire, tools, physical exertion, cold, wet conditions, darkness and group-dynamic situations.

5. Prices and Payment Terms for Project Management, Programme Management and Consulting Services

For project management, programme management and consulting services, the prices, fees and expense arrangements set out in the offer, contract or written agreement apply.

A general advance payment is not provided for these services unless otherwise agreed.

Invoicing is carried out in accordance with the offer, contract, proof of services or agreed billing rhythm, typically monthly.

Invoices are payable within 10 days net from the invoice date unless otherwise agreed in writing.

In the event of late payment, PMDeers may, after prior reminder, suspend ongoing services until outstanding amounts have been settled. Further statutory rights remain reserved.

6. Prices and Payment Terms for Survival Training, Workshops and Team Events

For survival training, workshops, courses, leadership events and team events, unless expressly agreed otherwise, 100 % advance payment applies.

The right to participate exists only after full payment has been received. Without timely receipt of payment, there is no entitlement to participation, implementation or reservation of a place.

Any additional services, special material costs, external costs, transport costs or catering costs are governed by the announcement, offer or written agreement.

7. Cancellation by Participants or Customers for Survival Training, Workshops and Team Events

For survival training, workshops, courses, leadership events and team events, the following cancellation conditions apply unless otherwise agreed in writing:

• Cancellation more than 30 days before the date: 100 % refund of participation or event fees already paid.
• Cancellation 15 to 30 days before the date: 50 % refund of participation or event fees already paid.
• Cancellation less than 15 days before the date: no refund.

The decisive time is the receipt of the written cancellation by PMDeers.

A substitute person may be provided at any time at no additional cost, provided that the substitute person meets the participation requirements and PMDeers is informed in due time.

There is no voluntary right of return or entitlement to a refund outside these cancellation conditions.

8. Postponement, Cancellation and Force Majeure

PMDeers may postpone, adapt or cancel events, training sessions, workshops or events if objective reasons make this necessary. These include, in particular, safety reasons, insufficient number of participants, illness, accident, official orders, unsuitable weather or terrain conditions or organisational reasons.

In the event of cancellation by PMDeers, an alternative date will be offered where possible. If no alternative date is possible or reasonable, participation or event fees already paid will be refunded. Further claims are excluded to the extent permitted by law.

In the event of force majeure, PMDeers shall not be liable for non-performance, delay or adaptation of services. Force majeure includes in particular natural events, storms, flooding, forest fires, official prohibitions, pandemics, infrastructure failures, serious traffic or supply disruptions and other events outside the sphere of influence of PMDeers.

9. Obligations of Participants in Survival Training, Workshops and Team Events

Participants are obliged to follow the instructions of PMDeers, instructors, guides or commissioned auxiliary persons.

Health restrictions, allergies, relevant medication, physical limitations, pregnancy or other safety-relevant circumstances must be communicated to PMDeers before the start of the event.

Participants are themselves responsible for realistically assessing whether they are physically and mentally able to participate in the respective event.

PMDeers may exclude participants from exercises or from the event in whole or in part for safety reasons, in particular in the event of disregard of safety instructions, risky behaviour, influence of alcohol or drugs, unsuitable equipment or significant endangerment of themselves or third parties.

In the event of exclusion for such reasons, there is no entitlement to a refund.

10. Insurance

Insurance is the responsibility of the participants or the customer.

Participants are themselves responsible for sufficient insurance cover, in particular accident, health, liability, travel and cancellation insurance, where relevant.

11. Liability in the Areas of Project Management, Programme Management and Consulting

Within the framework of the statutory provisions, PMDeers is liable only for damage caused by intentional or grossly negligent conduct.

Liability for slight negligence, indirect damage, consequential damage, data loss, loss of profit, unrealised savings, reputational damage or damage arising from decisions made by the customer is excluded to the extent permitted by law.

The customer remains responsible for internal decisions, implementation, approvals, instructions, governance, regulatory assessments, legal matters, technical production deployments and operational impact.

12. Liability for Survival Training, Workshops and Team Events

Participation in survival training, workshops, courses, leadership events and team events is at the participant’s own risk.

PMDeers is liable only for damage caused by intentional or grossly negligent conduct.

Liability for slight negligence, indirect damage, consequential damage, loss of or damage to personal belongings and for damage resulting from disregard of safety instructions is excluded to the extent permitted by law.

Liability for auxiliary persons, external providers, landowners or landholders, transport service providers or other third parties is excluded to the extent permitted by law.

13. Customer’s Duties to Cooperate

The customer shall provide PMDeers in good time with all information, documents, access rights, contact persons, decisions and approvals required for the provision of the services.

Delays, additional expenses or restrictions arising from missing, late or incomplete cooperation may be charged additionally, unless they were caused by PMDeers.

14. Copyrights and Rights of Use

Concepts, methods, documents, presentations, models, texts, images, training designs, working materials and other content of PMDeers are protected by copyright.

The customer or the participants receive only the expressly agreed rights of use. Without the written consent of PMDeers, content may not be reproduced, published, passed on, sold, used for the customer’s own training or otherwise used commercially.

15. Data Protection

PMDeers processes personal data in accordance with applicable Swiss data protection law and in accordance with the privacy policy on this website.

16. Confidentiality

PMDeers and the customer shall treat confidential information, trade secrets, internal documents and non-public information of the other party confidentially.

This obligation shall continue to apply after termination of the contractual relationship.

17. Final Provisions

Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall remain unaffected.

PMDeers may amend these GTC at any time. For existing contracts, the version valid at the time the contract was concluded shall apply, unless otherwise agreed.

Swiss law applies.

The place of jurisdiction, to the extent permitted by law, is the registered office of the company according to the commercial register.
